1. Who you are contracting with
These Terms & Conditions (the “Terms”) govern your access to and use of the zAccess platform, websites and related services (collectively, the “Service”). The Service is provided by ZentriNet Technologies LTD(“ZentriNet”, “we”, “us” or “our”), a company registered in Nigeria with offices at 82, Uselu Lagos Road, Benin City. By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you confirm that you have authority to bind that organization, and “you” refers to that organization.
2. The Service
zAccess is an online assessment, proctoring and credentialing platform for schools, universities and training organizations. Functionality may be added, changed or removed from time to time. We do not guarantee that the Service will be uninterrupted, error-free or fit for any particular purpose beyond what is expressly stated in your active plan.
3. Accounts and acceptable use
- You must provide accurate information and keep your account details up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must not misuse the Service. This includes (without limitation) using it unlawfully; sending spam or malware; attempting to bypass security, access controls or rate limits; scraping; reverse-engineering; reselling without our written permission; infringing intellectual-property rights; or interfering with other users.
4. Intellectual property
We retain all right, title and interest in the Service, including the software, documentation, branding and underlying technology. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your active plan. You retain ownership of the content you upload (questions, exams, student data, branding) and grant us a limited license to host and process it solely to provide the Service to you.
5. AI-assisted features and biometric processing
Some Service features use artificial intelligence (e.g. question generation, similarity detection, identity verification). You are responsible for reviewing AI outputs before relying on them and for ensuring you have the rights to any input content. AI outputs may be inaccurate or incomplete; they are not a substitute for professional academic or legal judgment. We may filter, restrict or refuse outputs that violate these Terms.
Where the Service captures webcam, microphone or identity-document data for proctoring or verification, you are responsible for obtaining the necessary consents from the individuals being recorded and for complying with applicable data-protection law.
6. Payments — Paddle as Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax and refund mechanics are governed by the Paddle Buyer Terms in addition to these Terms.
7. Subscriptions, renewals and cancellations
Paid plans are billed in advance on a monthly or annual basis depending on the plan you select, and renew automatically until cancelled. You can cancel a subscription at any time via the customer portal at paddle.net. Cancellations take effect at the end of the current billing period; you keep access until then. Refunds are governed by our Refund Policy.
8. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends immediately. We will make a reasonable effort to allow you to export your data for 30 days after termination, after which we may permanently delete it.
9. Warranty disclaimer
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is capped at the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental or punitive damages, or for loss of profits, revenue, data or goodwill. We do not exclude liability for fraud, gross negligence, death or personal injury where such exclusion is prohibited by law.
11. Indemnification
You will indemnify and hold us harmless from third-party claims arising from your use of the Service in breach of these Terms, your content, or your unlawful conduct.
12. Changes to the Terms
We may update these Terms from time to time. Material changes will be notified by email or in-product. Continued use of the Service after the effective date of the change constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of Benin City, Edo State, Nigeria.
